Application and formation of an engagement
These Terms of Service describe the general terms under which Managing KRB Consults may provide business operations review, process improvement consulting, business research and analysis, project coordination support, or ongoing business support. A specific engagement is formed only when the parties accept a written proposal, statement of work, service agreement, or other written scope and any required initial payment has been received. An inquiry, meeting, estimate, or preliminary discussion does not by itself create an engagement.
The engagement document identifies the client, selected service, objectives, included work, excluded work, deliverables, schedule assumptions, fees, payment timing, revision or review limits, and any special terms. If a signed engagement document conflicts with these general Terms of Service, the signed document controls for that engagement. Changes are effective only when confirmed in writing by authorized representatives.
Scope, assumptions, and change requests
Services are limited to the written scope. Examples, conversations, website descriptions, or prior projects do not expand that scope. Estimates are based on the accuracy and completeness of information available when the estimate is prepared. A material change in facts, volume, access, timing, stakeholders, deliverables, or dependencies may require a revised schedule and additional fees.
A client may request a change, but Managing KRB Consults is not required to begin changed or additional work until the parties confirm the impact in writing. A change order may describe added or removed tasks, new assumptions, revised deliverables, new fees, and schedule adjustments. Work outside scope may be declined or deferred. Unused effort in one area does not automatically transfer to an unrelated area unless agreed in writing.
Client responsibilities and decision authority
The client will provide accurate, timely, and lawful information; identify an authorized point of contact; make appropriate personnel available; provide required access; review materials; respond within agreed windows; and make all business decisions. The client is responsible for obtaining internal approvals and for ensuring it may lawfully share every document, record, account, or third-party work supplied for the engagement.
Managing KRB Consults may rely on information provided by the client without independently auditing it unless the written scope expressly requires verification. Delayed, incomplete, inaccurate, or changing information may affect the schedule, fees, or usefulness of the work. The client retains responsibility for implementation, staffing, legal compliance, tax treatment, accounting, vendor contracting, technology decisions, and operational outcomes.
Schedule, communication, and project pauses
Dates are planning estimates unless a written agreement expressly states a binding deadline. The schedule assumes timely client inputs, decisions, access, and feedback. A delay outside reasonable control, including a client delay or a third-party dependency, may shift milestones without creating liability. Working communication may occur through agreed email, meeting, or document channels. The client should consolidate feedback through the authorized contact whenever reasonably possible.
If required information or feedback remains outstanding, work may be paused. A prolonged pause may require rescheduling based on current availability, a restart fee if stated in the engagement document, or closure of the project. Managing KRB Consults will not be responsible for consequences caused by a client’s failure to respond, approve, provide access, or make a required decision.
Deliverables, review, and use
Deliverables are those specifically listed in the written scope. Drafts, notes, research collections, working documents, methods, internal tools, rejected concepts, and preliminary materials are not deliverables unless expressly included. The client will review work promptly and provide specific, consolidated feedback connected to the agreed objectives. Included revisions or review cycles are limited to those described in the engagement document.
Final materials are considered accepted when the client approves them in writing, uses them in business operations, or does not identify a material scope-related issue within the stated review period. Any later request is a new request unless the parties agree otherwise. Recommendations are based on the circumstances and information available during the engagement and may require adjustment as the client’s operation, market, team, technology, or obligations change.
Fees, invoices, and expenses
Fees are stated in the engagement document. Fixed prices assume the listed scope and conditions. Ongoing support is billed according to the monthly structure described in the applicable agreement. Taxes, processor charges, travel, special software, data purchases, printing, shipping, or other third-party costs are not included unless stated. No expense outside the agreed structure will be incurred on the client’s behalf without the level of approval described in the scope.
Invoices are due according to the Payment Policy and engagement document. Managing KRB Consults may pause work, withhold deliverables, revoke access to working materials, or adjust the schedule when an undisputed amount is overdue. The client remains responsible for approved work performed and authorized costs incurred through suspension or termination.
Confidentiality and third-party resources
Each party may receive nonpublic business information that a reasonable person would understand to be confidential. The receiving party will use that information only for the engagement and protect it using reasonable care. Confidential information does not include information lawfully known without restriction, independently developed, publicly available through no breach, or rightfully received from another source. Disclosure may be made when required by law after notice where legally permitted.
Services may use third-party platforms, research sources, templates, software, or specialist vendors. Their availability, terms, security, licensing, and performance are outside direct control. The client is responsible for reviewing and accepting third-party terms applicable to tools or resources it chooses to adopt. No third-party license is transferred beyond the rights expressly provided.
Cancellation, termination, and transition
Cancellation and refunds are governed by the Cancellation & Refund Policy and the applicable engagement document. Either party may terminate for a material breach that remains uncured after reasonable written notice, unless immediate termination is permitted for illegality, security risk, nonpayment, abusive conduct, or another serious concern. Managing KRB Consults may also decline or end work that moves beyond general business consulting into a regulated or unsupported field.
Upon termination, the client will pay fees for work performed and approved costs incurred through the termination date. After payment of all amounts due, any completed client deliverables then ready for release may be provided in their current state, subject to the written scope and applicable rights. Clauses concerning payment, confidentiality, ownership, limitation of liability, dispute resolution, and records survive termination.
No guaranteed outcome, liability, and disputes
Consulting supports decisions and organization but does not guarantee profit, savings, growth, funding, vendor performance, project completion, regulatory approval, or any other business result. Outcomes depend on factors outside Managing KRB Consults’ control, including client decisions, implementation, market conditions, personnel, technology, vendors, and changing facts. Services are not legal, tax, accounting, investment, employment, engineering, medical, or cybersecurity advice.
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, punitive, exemplary, or consequential damages or for lost profits, revenue, opportunity, goodwill, or data. Except for payment obligations, confidentiality breaches, intellectual-property misuse, fraud, willful misconduct, or liability that cannot be limited, Managing KRB Consults’ aggregate liability connected to an engagement will not exceed the fees paid for the specific service giving rise to the claim. Arizona law governs unless a signed agreement states otherwise. The parties will first attempt good-faith business resolution before filing a claim in a court of competent jurisdiction in Maricopa County, Arizona, unless applicable law requires a different forum.
